Germany's Naval Shipbuilding Giant Thyssenkrupp Marine Systems to Go Independent
Thyssenkrupp Marine Systems (TKMS), the largest naval shipbuilder in Germany, is set to break free from its parent company, Thyssenkrupp AG, and list on the Frankfurt Stock Exchange. The spin-off decision was made at an extraordinary general meeting held online on August 8, 2025.
The spin-off is expected to make TKMS a standalone entity, with TKMS AG & Co. KGaA set to be entered into the commercial register by mid-October. Thyssenkrupp AG will retain a 51% majority stake in the new company through a new holding company [1][2][5].
The spin-off is a significant move in the German shipbuilding industry. TKMS, headquartered in Kiel, is the world market leader in non-nuclear operated submarines and also builds frigates and corvettes. The independence is seen as a strategic realignment for the thyssenkrupp Group and enabling TKMS to contribute significantly to national and alliance defense [1][2].
As part of this transaction, 49% of TKMS will be transferred directly to thyssenkrupp shareholders. This move aims to give TKMS the entrepreneurial freedom to accelerate innovation, finance growth, and pursue strategic partnerships and acquisitions, benefiting from direct access to capital markets. The remaining employees at TKMS remain around 8,200 [3].
Miguel López, the CEO of Thyssenkrupp, emphasized that the spin-off decision does not affect the rest of Thyssenkrupp's operations. The spin-off of TKMS is not yet complete, and a listing on the regulated market of the Frankfurt Stock Exchange is expected to follow immediately after the registration [4].
